The Idaho Non-Disclosure Agreement (NDA) Template acts as a tool to finalize the intent to protect the Trade Secrets that arise when doing business with other entities. This can be invaluable when embarking on a new professional relationship or even in a current one where some assurance seems necessary.
Idaho will have its own statutes governing the subject of Trade Secrets (see. Idaho Title 48 Chapter 8 Idaho Trade Secrets Act) where a variety of subjects are addressed ranging from what a Trade Secret is to when is it improperly used. This document will adhere to these statutes at all times but adds the security of an acknowledging signature and a direct obligation to all the participating entities in relation to its contents.
This paperwork will require some attention before it is signed. The language provided is necessary to achieve the security of protecting Trade Secrets but will need have the parties recorded directly on it. Only after each signature party has been successfully named and has reviewed this document should it be signed, making it a contract.
