The Patent Inventor Nondisclosure Agreement (NDA) Template allows Inventors to guard their Proprietary Information when it becomes necessary to share that information with another party. This is accomplished by gaining a signature from the Recipient Party that represents his or her promise to maintain the level of confidentiality defined in the paperwork on this page. It is important that several facts be documented accurately at the time of such an agreement. Such facts will be provided by virtue of the required language forming the structure of this document.

The paperwork details how Confidential Information will be presented and how it should be treated then require a signature from each party to acknowledge these definitions and the terms that follow. Generally, a minimum amount of information will need to be input for this template to be applied to most such situations. Of course, since this is an editable template, the user may add or subtract terms to suit specific situations, but this would be considered unwise if it is attempted without first seeking legal counsel (i.e. an attorney).

Once all the information requested by this paperwork has been filled out and checked for accuracy, you will need to coordinate with the signature parties

How To Write

1 – The Document Displayed Below May Be Downloaded At Your Discretion

The paperwork needed for this goal is attainable through any of the links on this page. Simply select the file type (Adobe PDF or Microsoft Word (.docx)) compatible with your software then save it. Open it when you are ready to fill it out with the information it requests.

 

2 – The Contract Date Must Be Set

The first task at hand will be to record the Date of this Agreement. This should be done by entering each component on its own line. Enter the Calendar Day on the first blank line of the first paragraph. Use the second and third blank lines to enter the Month and Year when this Agreement goes into effect.

3 – Each Party Should Be Clearly Identified

Now we must identify the Inventor and fill in his or her Location. Record the Inventor’s Full Name on the empty line just after the words “By And Between.”

After identifying the Inventor, use the next empty space to display the Physical Address of the Inventor’s location.

The Recipient of the Inventor’s Proprietary Information will also need to be documented in this statement. Locate the word “and” then, document the Recipient’s Legal Name on the blank line that follows it.

The Recipient report will continue with his or her Physical Address filled onto the blank space prior to the parentheses phrase “Hereinafter Recipient.”

4 – Present The Governing State

Next, it will be necessary to specify which State will hold authority over this document. Look for the statement beginning with the words “This Agreement Shall Be Interpreted And Enforced Under The Laws…” then enter the Name of the State (whose laws apply) on the two blank lines supplied in this document.

5 – It Is Mandatory The Recipient And Inventor Sign Their Names To Enter This Contract

The Recipient of the Inventor’s Proprietary Information should sign his or her Name on the blank line labeled “By” under the heading “Recipient” at the bottom of this page. On the next blank space, he or she should provide the Date of Signature

The Inventor who may divulge confidential information should sign the first blank space on the blank line labeled “By” as well as enter the Date of Signature on the “Date” Line.
