The Hawaii Non-Disclosure Agreement (NDA) Template has been developed so that issues involving a Signature Party’s Privacy with Trade Secrets will remain protected upon Signing. This execution of the paperwork here will serve as proof that a signature party has read the definitions provided and understands both the importance of the matter at hand as well as the consequences of any wrong doing (intentional or unintentional).
This document and its contents are fully in accordance with Hawaii Revised Statutes Title 26.482B Trade Secrets. This is an important point to keep in mind. The terms and penalties defined in Hawaii Revised Statutes Title 26.482B and this paperwork should be considered two separate entities with their own consequences. This means that each signature party is obligated to follow the terms here as well as the local laws that govern the subject because each set of terms will have a separate entity seeking a remedy to any violation.
Generally, most individuals participating in this signing are doing so in the spirit of good faith. Thus, by giving a full detail of what is and what is not allowed when dealing with the signing entity’s Trade Secrets, the chances of a signing party inadvertently acting inappropriately drops significantly. That is, they will have a written guideline to observe when conducting their activities. It should be noted this is a contract. A Signature here will mean the signature party has read, understands, and agrees with the terms of this document and will agree to being held responsible by the other signature entities.
