The Product Development Non-Disclosure Agreement (NDA) Template will document the method in which Confidential should be disclosed and how it should be treated. This Template can, therefore, be considered a very useful precautionary tool for an Inventor concerned with the security of his or her Confidential Information whenever it is disseminated to the Recipient named in this document.
Some preparation will be necessary before submitting this paperwork to the Inventor and Third-Party Recipient, the preparer will need to set forth several facts of matter that relate directly to the situation at hand. Mostly, these facts will serve to document the Identities, Locations, and Time Period directly involved with the participants, effect, and execution of this paperwork. While this is some very basic information, it is imperative for the functional effectiveness of this contract that each item is reported in an accurate matter as possible. This contract’s language will apply these facts to the requested items.
Once each party that intends to enter and benefit from this Agreement have signed this template properly, it will become a contract that each party can have upheld in a court of law. It should be noted that some Localities or States will have laws specific to that jurisdiction. Before drafting and executing this contract, make sure all parties are aware of such laws. This contract will remain compliant with all state regulations.

2 – Several Facts Need To Be Established
The Agreement Date will need to be supplied in the first statement. The first blank space will accept the Calendar Day, the second space calls for the Month, and the Year must be presented on the third blank space. It is strongly suggested to make every attempt in making sure this date matches the Signature Date. 
The following blank line, after the phrase “By And Between,” then supply the Inventor’s Legal Name. You will also need to supply the Inventor’s Mailing Address on the next empty line.The last two blank spaces in this statement will also have required items that you must supply. Record the Full Name of the Third Party who will promise to maintain the Inventor’s confidentiality on the next empty space then his or her Mailing Address on the last empty space in this statement.The next area requiring attention will be part iv in Item f. Locate this item in the list presented below the “Whereas” statement. Here you must report the number of Years from the Execution Date this agreements term will remain in effect on the blank space provided.Finally, at the top of the next page, report the State where this contract will be enforced.
5 – A Signature Is Required Of Each Party
The concerned Inventor must provide his or her consent to the execution of this paperwork by signing the blank line labeled “Inventor’s Signature” at the bottom of this page. This signature must be accompanied by the Inventor’s Printed Name and Date of Signature filled onto the “Print Name” and “Date” lines.
Next, the 3rd Party will need to Sign and Date this document on the blank lines labeled “3rd Party’s Signature” and “Date,” and print his or her name below the signature provided.
